PUBLIC AUCTION - IN PERSON / ONLINE LAND AND BUILDINGS - SECURED & FENCED Taxes for 2019: $36,037.87 NOTE: We are pleased to announce that, as the result of a number of requests that we do so, the closing date and time for this auction has been extended from 5:00PM on July 31, 2019, to 5:00PM on August 15, 2019. This two-week extension has been necessitated by the large number of requests that we have received from non-regional potential purchasers for an onsite viewing and walk-through of the subject premises prior to bidding. We are unable to accommodate these requests in the short period of time remaining before the originally scheduled auction close date. Consequently, the auction is extended for two additional weeks and onsite viewings and walk-throughs will take place during the first week of August, 2019. Any potential purchasers who wish to view the subject premises should contact our offices to make an appointment to do so within this timeframe. Please note that there will be no further extensions. The successful bidder will be determined after bidding closes. The Property Identification Number for this property is 75010-0225 (LT). The legal description for this property is Part Lot 19, Concession 10, WBR Maidstone, now designated as Part 1 on Reference Plan 12R-23285; Lakeshore; subject to an easement over Part 1 on Reference Plan 12R-23285 in favour of Parts 1, 2, and 3 on Reference Plan 12R-24043 until May 9, 2033. This property is hereinafter referred to as the “subject premises”. Abutting Manning Road, the subject premises is comprised of a 10.616 acre piece of property located at 20 North Rear Road in the Town of Lakeshore, Ontario. This is a high-security facility, originally built to accommodate a licensed cannabis growing operation. The subject premises were inspected and approved for this purpose, but the applicant corporation did not qualify for a cannabis growing license. As a result, to date, the facility has not been used for the purpose for which it was constructed. The subject premises is fully enclosed by two layers of heavy gauge, 12-foot high, galvanized chain-link fencing and barbed wire, including a double-gate security system capable of holding full-sized tractor-trailers pending clearance for access or egress. The property contains three buildings: an office building with living quarters; a huge, vacant building containing approximately 72,000 square feet of open space; and a rented building currently occupied by well-paying tenants. The rented building is also high-security. The existing tenant has a 4,000 square foot vault sitting on top of a virtually impregnable, specially designed floor comprised of 6 feet of imbedded concrete, on top of which sits an additional 2 feet of interlaced, horizontal steel bars, also encased in concrete, on top of which is another 5 inches of poured concrete finished floor. The property is located near the Highway 401 and Manning Road on/off ramps and is adjacent to the local 401 OPP detachment. It is the perfect location for producing, storing, shipping and/or transferring high value, sensitive and/or restricted products and materials. This is a unique, well-located property, ideal for any business that requires security protocols. The property is zoned Agricultural: Among other things, permitted uses include agricultural use, value-added agricultural use, an abattoir, a farm produce outlet, a farm winery, a greenhouse farm, a mushroom farm, and commercial greenhouse operation. The facilities were previously accepted as satisfactory for a cannabis production facility, although the applicant failed to obtain the necessary license for this purpose. The municipal taxes for the subject premises for 2019 are $36,037.87, most of which is paid for by the tenants. There are two well-paying tenants that come with the property. One rents the building referred to above under a five-year lease commencing December 1, 2016. The other tenant rents the roof of this same building for solar panels and has pre-paid their rent through 2031, so there will be a significant adjustment for rent in favour of the successful purchaser on closing. There are easements registered on title for access to and servicing of the said solar panels. Both tenants’ leases have an option for first right of refusal to purchase the subject premises, so the successful bid will be subject to their waiver within three days of the auction close. In addition to the subject premises, there is a 1,872.79 square meter parcel of land containing an older house that is located within the same fenced enclosure that surrounds the subject premises. This parcel is severed from the subject premises, but for the right bid can be acquired together with the subject premises. Any bid intended to include this additional parcel should specify so. Otherwise, bids will be deemed to be for the subject premises only, not including this additional parcel. Auction closes at 5:00PM July 31, 2019. The successful bid will be subject to a 10% Buyer’s Premium in addition to the successful bid price. The successful bidder will provide a deposit in the amount of $60,000.00 payable to “Laing & Parent LLP in Trust” on July 31, 2019, at the close of auction, as well as sign an Agreement of Purchase and Sale reflecting the successful bid terms with a proposed closing date of August 23, 2019. COMPLETION OF THIS FORM IS A REQUIREMENT FOR REGISTRATION AND PARTICIPATION IN THIS AUCTION A BIDDING NUMBER WILL ONLY BE ISSUED ONCE THIS FORM IS COMPLETED AND SUBMITTED AUCTION DATE: JUNE 29, 2019 This is a closed tender, on-line auction, with bids accepted from 9:00AM Monday, June 17, 2019 until 5:00PM Saturday, June 29, 2019 THE “GOODS” TO BE AUCTIONED: All the equipment, weights and exercise machines currently located at 10700 Tecumseh Road East, Windsor, Ontario, more specifically identified as the Goods in the listing on-line. NATURE OF AUCTION: This is a single package, one lot, bulk sale of the goods to be auctioned. It is an on-line auction with viewings to be arranged by appointment. The Goods to be auctioned will only be sold individually and piecemeal if no satisfactory bid is received by the Auction Date for the single lot. RESERVE BID: This is a confirmation auction, meaning that the Seller has an undisclosed minimum amount expected to be received for the single lot, bulk sale of the Goods, failing which the Goods will be sold individually and piecemeal. Neither the Auctioneer, Laing & Parent LLP, nor the Seller or Consignor, makes any warranties or representations of any kind with respect to the Goods and in no event will they be held responsible for having made or implied any warranty of description, genuineness, authorship, attribution, provenance, period, culture, source, origin, condition, etc. of the Goods; 24. I acknowledge that should my bid be successful, I will be responsible for the removal of the Goods by the date specified above. In this regard, I acknowledge that I will be responsible for arranging shipping or the pick-up of the Goods at my expense, liability and risk. I acknowledge that, even though a representative of the Auctioneer may be present to give me access for pick-up of the Goods, the representative cannot and will not assist me in removing the Goods, and that I will be responsible for bringing my own crew and satisfactory vehicles for this purpose; 25.
